1.1. PharmachainAI is an AI-powered, blockchain-secured technology platform (the "Platform") designed to assist Users in locating pharmacies and checking the availability of medicines offered by independent third-party pharmacies.
The Platform is operated by different legal entities depending on the User's location. For purposes of these Terms and Conditions, "Company," "we," "us," or "our" refers to the applicable operating entity as defined under section 2.
By accessing or using the Platform, you agree to be bound by these Terms and Conditions and all related policies incorporated by reference. If you do not agree, you must not use the Platform.
1.2. PharmachainAI does not sell or purchase medicines. All purchases are made directly between Users and Pharmacy Partners.
1.3. By accessing or using PharmachainAI, you agree to these Terms & Conditions and any related policies published on the Platform.
For purposes of these Terms:
"Company," "we," "us," or "our" means:
Each Company operates independently and is responsible solely for obligations arising from its own Users. Nothing in these Terms creates joint liability, partnership, or agency between the Companies.
"PharmachainAI" refers solely to the technology Platform and does not constitute a legal entity.
"User" or "you" means any individual or entity accessing or using the Platform.
"Pharmacy Partner" means an independent third-party pharmacy registered on the Platform.
"PHAI" means the utility token used solely for accessing Platform features and community participation.
"Prediction" means an AI-generated, probability-based ranking derived from historical activity, third-party confirmations, and community inputs, which does not constitute a guarantee of availability.
3.1. Users must be at least 18 years old to create an account and be legally capable of entering into binding contracts.

The Company does not verify prescriptions and does not participate in the dispensing of medications.
4.4. The Platform utilizes artificial intelligence to rank and predict the likelihood of locating medicines based on multiple data inputs, including historical user activity, confirmations provided by Pharmacy Partners, and verified community referrals.
4.4.1 These rankings represent probability-based predictions, not guarantees of availability or confirmation.
5.1. The Platform is an informational tool only and is not a substitute for professional medical advice, diagnosis, or treatment.
5.2. AI-generated results are based on available data and may be incomplete, outdated, or inaccurate.
5.3. Users acknowledge that reliance on Platform information is at their own risk.
5.4. AI-generated predictions may be inaccurate, incomplete, outdated, or unavailable. In some cases, medicines predicted by the Platform may not be found or confirmed by Pharmacy Partners, and corresponding rankings may be adjusted or removed.
5.5. Users acknowledge that all rankings, predictions, and recommendations provided by the Platform are informational only and agree not to rely on such outputs as definitive confirmation of medicine availability.
6.1. Pharmacy Partners must provide current and accurate information, but temporary discrepancies may occur.
6.2. The Company does not guarantee real-time accuracy at all times.
6.3. Users should confirm availability directly with the Pharmacy Partner before visiting or purchasing.
6.4. Users may report inaccurate listings for review and correction.
6.5. Rankings and predictions are influenced by confirmation responses from Pharmacy Partners at the time of a User's search. A lack of confirmation, delayed response, or subsequent unavailability may result in lower rankings or removal of predicted results.

Users must not manipulate, abuse, or attempt to improperly influence Platform rankings, predictions, confirmations, or community incentive mechanisms.

The Company reserves the right to deny, withhold, revoke, or invalidate any Community Contribution or incentive and to suspend or terminate accounts engaged in abusive or manipulative behavior.
Pharmacy Partners must:
Pharmacy Partners assume full responsibility for all medicines they list on the Platform.
9.1. Utility: PHAI powers AI searches, smart contract transactions, pharmacy verification, and community Incentives.
9.1.1. PHAI may be used to enable and access blockchain-based traceability and provenance features at the pharmacy layer, including verified records indicating which licensed Pharmacy Partners distribute or dispense particular medicines and real-time visibility into distribution pathways across participating pharmacies.
Such traceability and provenance features are informational in nature and are dependent on data provided by Pharmacy Partners and other third parties. The Company does not manufacture, distribute, or authenticate medicines and does not guarantee the accuracy, completeness, or legal compliance of provenance data.
9.2. Acquisition: Users receive a free 500 PHAI allowance upon registration; additional tokens may be purchased.

9.5. No Compensation or Employment Relationship
9.5.1. PHAI tokens awarded in connection with Community Contributions are not payment for services, wages, income, or compensation of any kind.
9.5.2. Participation in community incentive programs is voluntary and does not create any employment, independent contractor, partnership, agency, or fiduciary relationship between the User and the Company.
9.5.3. Users are solely responsible for any tax obligations arising from their receipt or use of PHAI tokens, if applicable under local law.
10.1. The Company does not process or hold payments for medicines.
10.2. All payments occur directly between Users and Pharmacy Partners via their preferred channels.
10.3. The Company is not responsible for payment disputes.
11.1. Users may submit reviews, feedback, and comments ("Content") in the community or AI training sections.
11.2. Content must be truthful, respectful, relevant, and free from offensive or unlawful statements.
11.3. The Company reserves the right to remove any content violating policies or disrupting the Platform.
11.4. Users may voluntarily submit referrals, supporting evidence, or information regarding the availability of medicines, including assistance to other Users in locating medicines or identifying medicines not previously listed on the Platform (for purposes of AI training and Platform functionality).
11.4.1. Subject to review, verification, and acceptance by the Company, the Company may, in its sole discretion, award PHAI utility tokens as community participation incentives, including:
The incentive amounts described in Sections 11.4.1.1 and 11.4.1.2 are illustrative only and are not fixed. The Company reserves the right, in its sole discretion, to increase, decrease, modify, or vary incentive amounts based on factors including, but not limited to, urgency, demand, availability, quality of contribution, system needs, or other operational considerations, without prior notice.
Community incentives are not guaranteed, may be withheld, adjusted, reversed, or revoked at any time, and are issued solely as discretionary utility-based rewards for Platform participation.
Community Contributions do not constitute professional advice, confirmation of availability, endorsement by the Company, or the creation of any agency, employment, or contractual relationship between the Company and the User.
No Endorsement or Verification by Incentives
The issuance of PHAI incentives in connection with Community Contributions does not constitute verification, endorsement, approval, or confirmation by the Company of any submitted information.
11.5.2. Community incentives do not alter the informational nature of Platform content and do not create any responsibility or liability for the Company with respect to User-submitted content or third-party actions.
12.1. All Platform content including logos, graphics, software, text, and algorithms is owned by Pharmachain LLC and Pharmachain Technologies Limited respectively or its licensors.
12.2. Users are granted a limited, non-exclusive, non-transferable right to use the Platform for personal purposes only.
12.3. No material may be copied, modified, or distributed without written permission.
12.4. Subject to Section 11, Users may submit referrals, supporting evidence, or information regarding the availability of medicines ("Community Contributions"). Such submissions may be reviewed for verification purposes and, if deemed credible, may influence AI-generated rankings and predictions.
12.5. Subject to Section 11, Community referrals and user-submitted evidence are reviewed for verification purposes; however, the Company does not independently guarantee the accuracy or completeness of such submissions. Verified referrals may influence AI rankings but do not constitute confirmation of availability.
13.1. Users and Pharmacy Partners must not:
Any attempt to engage in prohibited activities under this Section may result in suspension or termination of access, forfeiture or reversal of PHAI tokens, and any other remedial action deemed appropriate by the Company.
Users are solely responsible for maintaining the confidentiality and security of their account credentials, authentication information, private keys (if applicable), devices, and any access methods associated with their use of the Platform.
Users are responsible for all activities that occur under their account, whether authorized or unauthorized, except to the extent caused directly by the Company's gross negligence or willful misconduct.
The Company shall not be liable for any loss, damage, or unauthorized activity arising from a User's failure to safeguard account credentials, devices, or access information, including loss or misuse of PHAI tokens.
Users agree to promptly notify the Company of any suspected unauthorized access, security breach, or compromise of their account.
The Company may suspend or terminate access for:

The Platform is provided for informational purposes only. To the maximum extent permitted by law, the Company does not assume responsibility or liability for:
15.2. Exclusion of Certain Damages
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
15.3. Absolute Liability Cap
In all circumstances, and to the maximum extent permitted by applicable law, the total cumulative liability of the applicable Company to any User, whether arising in contract, tort, negligence, statute, strict liability, or otherwise, shall not exceed the greater of:
(a) the total amount actually paid by the User to the Company during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) with respect to Users contracting with Pharmachain LLC (United States), one hundred United States dollars (USD $100); or
(c) with respect to Users contracting with Pharmachain Technologies Limited (Nigeria or other non-United States jurisdictions), Fifty thousand Nigerian Naira (NGN 50,000).
This limitation applies regardless of whether the User paid any fees, and regardless of the form of action or legal theory asserted.
15.4. Allocation of Risk
Users acknowledge and agree that the limitations of liability set forth in these Terms reflect a reasonable allocation of risk and form an essential basis of the agreement between the User and the Company. Without these limitations, the Company would not be able to provide access to the Platform.
16.1. Users and Pharmacy Partners agree to indemnify and hold the Company harmless from claims arising from:

17.2. Unresolved disputes may be handled via mediation, arbitration, or referred to a competent court as a last resort in the applicable jurisdiction (USA or Nigeria).
These Terms and Conditions shall be governed by and construed in accordance with:
Conflict-of-law principles that would result in the application of another jurisdiction's laws are excluded.
The Company may update these Terms periodically. Updates will be posted on the Platform and take effect immediately upon publication.
